WhatsApp Business (Office) API Services

These Terms and Conditions (“Terms”) govern the use of WhatsApp Business API services (“Services”) provided by [Your Company Name] (“Service Provider”, “we”, “us”, “our”) to the client (“User”, “you”, “your”). By subscribing to or using the Services, you agree to be bound by these Terms.
If you do not agree, do not use the Services.
1. Service Description
We provide access, configuration, hosting, and support for WhatsApp Business API through authorized Meta partners. The Services may include:
WhatsApp API setup and onboarding
Message template management
API integration support
Messaging infrastructure access
Reporting and basic analytics
We are not WhatsApp or Meta. We only facilitate access.
2. Eligibility
You confirm that:
You are a legally registered business
You have authority to represent your business
You comply with all applicable local, national, and international laws
If this is false, your account may be terminated immediately without refund.
3. WhatsApp & Meta Compliance (Critical)
You must comply with:
WhatsApp Business Messaging Policy
WhatsApp Commerce Policy
Meta Platform Policies
Violations include (but are not limited to):
Spam or unsolicited messaging
Messaging without explicit user opt-in
Misleading, illegal, or prohibited content
Any violation is your responsibility, not ours.
If Meta suspends or bans your number, we are not liable.
4. User Consent & Opt-In
You are solely responsible for:
Collecting valid user opt-in
Maintaining opt-in records
Handling opt-out requests immediately
We do not verify your consent mechanisms. If you abuse the platform, consequences are yours alone.
5. Pricing & Payments
Fees are billed as per the agreed plan
WhatsApp conversation charges are applied as per Meta pricing
All payments are non-refundable, including setup fees
Failure to pay may result in:
Immediate suspension
Termination of services
Permanent deletion of data
No exceptions.
6. Message Delivery Disclaimer
WhatsApp message delivery depends on:
Meta infrastructure
Recipient availability
Network conditions
We do not guarantee delivery, read receipts, or response rates.
This is a messaging platform, not magic.
7. Account Suspension & Termination
We reserve the right to:
Suspend or terminate services without notice if misuse is detected
Comply with Meta or legal enforcement actions
Disable accounts involved in abuse, fraud, or policy violations
You will not receive compensation for downtime caused by enforcement actions.
8. Data & Privacy
Message data may pass through third-party servers (Meta and partners)
We do not sell your data
You are responsible for compliance with data protection laws (GDPR, IT Act, etc.)
We are not liable for breaches originating outside our infrastructure.
9. Limitation of Liability
To the maximum extent permitted by law:
We are not liable for indirect, incidental, or consequential damages
Our total liability shall not exceed the fees paid by you in the last 30 days
If your business depends entirely on WhatsApp, that’s your risk, not ours.
10. Indemnification
You agree to indemnify and hold us harmless against:
Legal claims
Regulatory penalties
User complaints
Policy violations
Caused by your use or misuse of the Services.
11. Service Modifications
We may:
Modify features
Change pricing
Update these Terms
Continued use means acceptance. If you don’t like changes, stop using the service.
12. Force Majeure
We are not responsible for service interruptions due to:
Platform outages
Government actions
Internet failures
Natural disasters
No refunds apply.
13. Governing Law
These Terms are governed by the laws of India.
Jurisdiction shall lie exclusively with courts in Vadodara.
